About Spring
Spring is the first agentic capital provider. Our AI agents move real money to real businesses, assessing, funding, and managing capital end to end. Every piece of the platform is built in-house in New York, and every dollar moves on one credit model, the rules that decide who gets capital, how much, and on what terms. Spring is backed by a $300M bank facility and $30M of equity.
The Role
You'll own legal and compliance at Spring. In just over a year we've advanced more than $250M to more than 300 customers, and we launch new products quickly. You'll draft and negotiate our agreements with customers, banks, partners, and vendors, and keep the company compliant as it grows into new products and states. You'll work directly with the founders and the credit, product, and engineering teams. This is a hands-on role: you'll handle most matters yourself and bring in outside counsel where a question needs a specialist.
What You'll Do
- Own our agreements end to end. Customer financing agreements, bank and partner agreements, vendor contracts, and employment and equity documents, from first draft through negotiation and signature.
- Run regulatory compliance. State commercial financing disclosure laws, registrations and licensing, privacy, and marketing rules, tracked state by state as they change.
- Build compliance into the platform. Turn each requirement into the agreement terms, disclosures, and eligibility rules our agents apply to every customer.
- Structure new products. We launch quickly. Decide how each product is documented, where it can be offered, and what each state requires before it goes live.
- Lead the legal side of our financings. Bank partnerships, capital raises, and diligence with investors and partners.
- Direct outside counsel. Decide what stays in-house and what goes out, and manage outside firms on licensing and disputes.
What We're Looking For
- 3+ years practicing law, including time at a top law firm, in financial services regulation, commercial finance, or fintech. Admitted to the bar in at least one US state.
- Deep regulatory and transactional expertise. You know where financing products run into state law and how to structure and document around it.
- Practical judgment. You turn agreements around quickly and give clear answers the business can act on.
- Incredibly strong attention to detail and work ethic.
- Strong familiarity with the latest AI and coding tools.
- In-house experience at a fintech or specialty finance company is a plus, not required.
